1. Acceptance of Terms
By accessing or using PadVox (the "Service"), including the iOS application and web platform at app.padvox.com, you agree to be bound by these Terms of Service. The Service is operated by PADHUB, S.L., a Spanish limited liability company with tax ID (NIF) B93855179 and registered office at Paseo de la Castellana, 194, planta baja, puerta B, 28046 Madrid, Spain ("we," "our," or "us"). If you do not agree to these terms, do not use the Service.
2. Description of Service
PadVox is a music project management platform that provides tools for event planning, setlist management, stage plot design, rider creation, tour logistics, financial tracking, ticketing, and team collaboration. The Service includes a mobile application (iOS) with audio/multitrack capabilities and a web platform for planning and administration.
3. Account Registration
- You must create an account to use the Service. You can sign up using email/password or Apple Sign In.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must provide accurate and complete information when creating your account.
- You must be at least 13 years old in the United States, or 16 years old in the European Union (14 in Spain, or the minimum age set by your member state), to use the Service, unless verifiable parental consent is provided.
- You agree to notify us immediately of any unauthorized use of your account.
4. Subscriptions and Payments
4.1 Free and Paid Plans
PadVox offers a free tier with limited features and paid subscription plans (Solo, Band, Stage Pro and Agency) with additional capabilities. Feature availability and limits for each tier are described on the subscription page within the Service.
4.2 Billing
- iOS subscriptions are billed through Apple's App Store and are subject to Apple's terms and refund policies.
- Web subscriptions are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annual).
- The project owner pays for the subscription. All members of the project receive full access to the subscribed tier's features at no additional cost.
4.3 Prices and taxes
All prices shown on padvox.com and inside the Service are in euros and include any indirect tax applicable in your country. The amount displayed is the final amount: no tax is added on top, and the price does not change depending on where you buy from.
If you are a business established in another EU member state and you provide a valid intra-EU VAT number, the reverse charge will apply, without changing the amount you pay.
Your invoice shows the taxable base and the tax amount separately.
4.4 Cancellation and Refunds
- You may cancel your subscription at any time. Access continues until the end of the current billing period.
- For iOS subscriptions, manage cancellation through your Apple ID settings. Refunds are handled by Apple.
- For web subscriptions, cancel through the subscription management page. Refund requests can be sent to info@padvox.com.
4.5 Right of Withdrawal (consumers in the EU)
If you are a consumer resident in the European Union, you have the right to withdraw from your subscription within 14 calendar days of purchase, without giving any reason and without penalty. To exercise it, simply tell us so — an email to info@padvox.com is enough — and we will refund every payment received within 14 days of being informed, using the same means of payment you used.
Immediate access and loss of the right. PadVox is digital content supplied without a tangible medium. If you ask us to start providing the Service before the 14-day period ends — which is what happens the moment your subscription becomes active — you expressly request immediate performance and acknowledge that you lose the right of withdrawal once the Service has been fully supplied. You confirm this when you subscribe. Until then, the right stands in full.
This clause does not apply to purchases made through Apple's App Store, which follow Apple's own cancellation and refund policy.
4.6 Price Changes
We reserve the right to change subscription prices. We will notify existing subscribers at least 30 days before any price increase takes effect. Continued use after the change constitutes acceptance.
5. User Content
5.1 Ownership
You retain ownership of all content you create or upload to the Service, including music, audio files, images, documents, event data, and project information ("User Content").
5.2 License to PadVox
By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing and improving the Service. We do not use your content for advertising or share it with third parties except as described in our Privacy Policy.
5.3 Prohibited Content
You agree not to upload or share content that:
- Infringes on intellectual property rights of others.
- Contains malware, viruses, or harmful code.
- Is illegal, defamatory, or promotes violence or discrimination.
- Violates the privacy of others.
6. Professional Use: Operator Accounts
If you use PadVox to manage a project in which other people (musicians, staff) are added as members and have personal data (including identity documents, fees, private notes, availability reasons, or check-in records) stored on the platform by you, you are acting as a Data Controller under GDPR and similar data protection laws. In that capacity you are required to:
- Have a lawful basis for processing each member's data (contract, consent, or legitimate interest);
- Inform members about your processing activities, including what data you store and why;
- Sign a Data Processing Agreement with PadVox. Our standard DPA is available at /dpa.
Failure to comply with these obligations is the sole responsibility of the operator, not of PadVox.
7. Ticketing
PadVox is a technical intermediary, not the seller. When tickets are sold through the Service, the contract of sale is concluded between the ticket buyer and the event organiser (the Operator using PadVox). PADHUB, S.L. neither organises the event nor sells the ticket: it provides the platform, and payments are collected through Stripe Connect into the organiser's own account. PADHUB, S.L. is not liable for the event taking place, its content, its cancellation or its rescheduling.
If you buy a ticket, claims relating to the event — refunds included — must be addressed to the organiser identified on the ticket and on the event page. If you cannot reach them, write to info@padvox.com and we will provide the organiser's contact details and any transaction record we hold.
Because tickets are for a leisure service supplied on a specific date, the 14-day right of withdrawal in section 4.5 does not apply to them (art. 103.l of Spanish Royal Legislative Decree 1/2007). This does not affect your rights if the event is cancelled or materially changed.
If you use PadVox's ticketing features to sell event tickets, you agree that:
- You are solely responsible for the accuracy of event information.
- A platform fee (commission) may be applied to ticket sales, as displayed at the time of event setup.
- Ticket payouts are processed through Stripe Connect. You must have a valid Stripe account to receive payouts.
- You are responsible for honoring tickets sold through the platform and for any refunds or disputes with ticket holders.
- You must provide and keep up to date the identification and tax details described in section 7.1 below.
7.1 Identification and tax information
Before ticketing can be enabled, you must provide the legal identification of the party that will receive the proceeds: legal name, tax identification number and registered address. We are required to hold this information for every party we pay, and payouts are made only to a bank account held in the name of that same party. We do not pay third parties.
You alone are responsible for that information being accurate, complete, valid and current, and for updating it whenever it changes. PADHUB, S.L. does not verify it, does not audit it and is under no obligation to do so.
To the fullest extent permitted by law, PADHUB, S.L. shall not be liable for any consequence arising from information you provide being incorrect, incomplete or out of date — including tax assessments, penalties, interest, payouts withheld or sent to the wrong recipient, payments rejected or frozen, or claims brought by any tax or supervisory authority or by any third party. You will hold PADHUB, S.L. harmless from any such claim directed at us as a result of the data you supplied.
We may suspend or disable ticketing, withhold payouts, or close the connected account where this information is missing, appears to be false, or cannot be verified — and, where a legal obligation requires it, we may do so without prior notice.
Nothing in this section limits the obligations PADHUB, S.L. has under applicable law in its own right, nor excludes any liability that cannot be excluded by law.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
- Interfere with or disrupt the Service or its infrastructure.
- Use automated tools (bots, scrapers) to access the Service without our prior written consent.
- Resell, redistribute, or sublicense the Service without authorization.
9. Intellectual Property
The Service, including its design, features, code, logos, and branding, is owned by PADHUB, S.L. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.
10. Termination
- You may delete your account at any time through the settings page or by contacting us.
- We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice.
- Upon termination, your right to use the Service ceases. We may retain certain data as required by law or described in our Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for any data loss resulting from your use of the Service.
12. Limitation of Liability
To the maximum extent permitted by law, PADHUB, S.L. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, arising from your use of the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated terms.
14. Governing Law and Jurisdiction
These Terms are governed by Spanish law. We will always try to settle any disagreement by talking to you first.
If you are a consumer, nothing here deprives you of the protection of the mandatory rules of the country where you are habitually resident, and you may bring proceedings before the courts of your own place of residence. You may also use the European Commission's online dispute resolution platform: https://ec.europa.eu/consumers/odr.
If you are acting as a business, any dispute arising from these Terms or the Service shall be submitted to the courts of Madrid, Spain, with express waiver of any other jurisdiction.
